Damián has a diverse corporate law practice with extensive experience in mergers and acquisitions, corporate finance, shareholder conflicts and general corporate matters.  He has assisted several U.S., European and Latin American companies in setting up operations in Argentina. He counsels clients on a broad range of general corporate and securities law matters, including corporate governance, corporate compliance and disclosure issues. He has substantial experience in the software, consumer products, brewing and bottling industries.

He has advised clients on numerous significant acquisition, sale and merger transactions, including a transnational company in its proposed spin-off transaction to create two separately companies; a local public company in its merger with another public company; a major Chilean producer of soft drinks in its merger with other local players; a Chilean brewing company in its proposed tax-free reorganization of its local subsidiaries; and a U.S. retailer in its merger with a target company. He recently advised Holcim on the simultaneous merger of publicly traded cement company Juan Minetti’s three leading shareholders Suma Huaico, Oxicor and Invegar, and on Juan Minetti’s subsequent merger with privately held cement manufacturer Hormix.

Graduated from the University of Buenos Aires (LL.B., 1992) and the University of Illinois at Urbana-Champaign (LL.M., 1999), he joined the law firm of Negri & Teijeiro in 1995, where he led the corporate and capital markets teams for several years.
 
Author of various publications, he has written a book on hostile takeovers of public companies and several articles on corporate law matters for publication in local and international law journals, including El Derecho, La Ley, Latin American Law & Business Report, Practical Latin American Tax Strategies, and La Nación newspaper. He was a lecturer on corporate law, merger & acquisitions and foreign investments in seminars organized by Universidad Austral, PriceWaterhouseCoopers, the Swiss-Argentine Chamber of Commerce and Fores (Training Program for Lawyers).

He is a professor of law at the graduate programs of Universidad Torcuato Di Tella and Universidad Empresarial Siglo 21.

Damián has been repeatedly selected for inclusion in Chambers Latin America as a leading individual in the Corporate/M&A field. He is a member of the Public Bar Association of the City of Buenos Aires, and President of the Illinois Alumni Club of Argentina.

Cecilia has a diverse corporate law practice with extensive experience in mergers and acquisitions, corporate finance, shareholder conflicts and general corporate matters, including investment agreements and counseling on the formation of real estate trusts, loan agreements and pledges.

She has advised clients on numerous significant acquisition, sale and merger transactions, including a Chilean brewing company , and a U.S. retailer.

Graduated from the University of Buenos Aires (LL.B., 1998), she joined the law firm of Negri & Teijeiro in 1999, where she led the corporate and capital markets teams for several years.
 
Since 2009 to 2011 Cecilia has participated in FORES PEA Trainning Program for Lawyers, Buenos Aires, Argentina as a professor on “Due diligence and stock purchase agreements.”   

Cecilia has been selected for inclusion in Chambers Latin America as corporate law attorney in Argentina.
